Terms of use
Version DraftNot yet in force
Mantl provides a marketplace for business ownership opportunities in Jamaica. These terms govern how buyers and sellers use it.
Use of the marketplace
Accounts are for genuine business owners and prospective buyers. Listings relate to businesses the seller is entitled to sell.
No advisory relationship
Mantl does not hold transaction funds, does not provide escrow, and does not provide legal, tax, accounting or investment advice.
Seller-provided information
Financial and operating information is supplied by sellers. An attorney certifies the seller's authority to sell. Mantl does not verify or audit the financial information supplied.
Confidentiality
Every listing is confidential. Buyers agree not to disclose information released to them through the disclosure process.
What Mantl does not provide
Mantl does not supply transaction documents of any kind. There is no letter of intent, no sale agreement, no offer form and no other deal document provided, drafted or reviewed by Mantl. Parties take their transaction documents to their own attorneys, who prepare, negotiate and settle them. Mantl provides the marketplace, the disclosure process and the record of what was exchanged, and nothing further.
Fees
Sellers pay a listing fee and, on a completed sale, a placement fee, as set out in the Seller Agreement. Buyers pay a monthly subscription, as set out in the Subscription Terms, and a diligence access fee for each data room opened.
Brokers
Brokers and intermediaries cannot hold buyer accounts. A false declaration of business type is grounds for closing the account.
Suspension and termination
Mantl may suspend or close an account that breaches these terms, including for trying to manipulate the valuation, and for uploading a document containing hidden instructions meant to change how Mantl's systems read it.
Offers must be notified
Any offer made or received for a listed business must be notified to Mantl within 30 days, as set out in the Non-Circumvention Undertaking.
If a seller dies or loses capacity
The listing is paused. An executor or administrator may act for the estate. Authority to sell must be certified again, at the estate's cost. The Seller Agreement binds the estate.
Governing law
These terms are governed by the laws of Jamaica.
Changes to these terms
Material changes to these terms require you to accept the new version before you continue using Mantl.
